Actinium Announces Pricing of Public Offering of Common Stock and Warrants to Purchase Common Stock
New York, NY – July 28, 2017 – Actinium Pharmaceuticals, Inc. (NYSE American: ATNM) ("Actinium" or "the Company"), a biopharmaceutical company developing innovative targeted therapies for cancers lacking effective treatment options, announced today the pricing of an underwritten public offering of 21,500,000 shares of its common stock and warrants to purchase an aggregate of 18,275,000 shares of the Company’s common stock at an offering price to the public of $0.75 per share and related warrant. The warrants have an exercise price of $1.05 per share and have a term of exercise of five years. The offering is expected to close on or about August 2, 2017, subject to customary closing conditions.
Oppenheimer & Co. Inc. is acting as sole book-running manager for the offering. Maxim Group LLC and Jones Trading Institutional Services LLC are acting as co-managers for the offering.
The gross proceeds to Actinium from this offering are expected to be approximately $16.125 million, before deducting underwriting discounts and commissions and other estimated offering expenses payable by Actinium. The Company intends to use the net proceeds from the offering to fund clinical development of Iomab-B, Actimab-A, Actimab-M, its alpha particle technology platform, and for general corporate purposes.
